Welcome to Finuro. These Terms and Conditions ("Terms") govern your access to and use of the Finuro platform, website, applications, products, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms.


1. About Finuro

Finuro is a technology platform that provides digital onboarding, compliance workflows, payment collection infrastructure, document management, community management, and related software services to financial professionals, including SEBI-registered Investment Advisers (IA), Research Analysts (RA), and other authorized entities.

Finuro does not provide investment advice, research recommendations, portfolio management services, brokerage services, or any regulated financial services.


2. Definitions

  • "Platform" means the Finuro website, applications, software, APIs, and related services.

  • "Advisor" means any Investment Adviser, Research Analyst, wealth manager, financial professional, or organization using Finuro.

  • "Investor" means any individual or entity accessing an Advisor's onboarding portal, community, subscription offering, or services through the Platform.

  • "User" means any person accessing or using the Platform.


3. Independent Advisor Relationship

Each Advisor using Finuro operates independently and remains solely responsible for:

  • Regulatory compliance obligations.

  • Client onboarding decisions.

  • Investment advice and recommendations.

  • Research reports and communications.

  • Suitability assessments.

  • Disclosures and documentation.

  • Client servicing and grievance handling.

Finuro is not responsible for any advisory services, research recommendations, investment decisions, or outcomes arising from interactions between an Advisor and an Investor.

Any engagement between an Investor and an Advisor constitutes a separate relationship between those parties.


4. Platform Services

Finuro may provide the following features:

  • Digital onboarding workflows.

  • KYC and document collection tools.

  • Compliance workflow automation.

  • Mandate verification workflows.

  • MITC acceptance workflows.

  • Payment collection infrastructure.

  • Subscription management.

  • Community management tools.

  • Client relationship management features.

  • Analytics and reporting tools.

Availability of features may vary depending on the selected subscription plan.


5. Advisor Accounts

Advisors are responsible for:

  • Maintaining accurate registration and business information.

  • Securing account credentials.

  • Ensuring authorized access only.

  • Keeping compliance information updated.

  • Maintaining valid regulatory registrations where applicable.

Finuro may suspend or terminate accounts that violate applicable laws, regulations, or these Terms.


6. Investor Accounts

Investors may be required to provide personal information and documentation during onboarding.

Investors agree that information submitted through the Platform shall be accurate, complete, and up to date.

Providing false, misleading, or fraudulent information may result in suspension or termination of access.


7. Subdomains and White-Label Services

Finuro may provide Advisors with dedicated subdomains or branded onboarding portals.

Such subdomains remain part of Finuro's infrastructure and are licensed to the Advisor during the active subscription period.

Finuro reserves the right to suspend or deactivate subdomains in cases of:

  • Regulatory violations.

  • Non-payment.

  • Fraudulent activity.

  • Breach of these Terms.

  • Legal or governmental requirements.


8. Data Ownership

Advisor-generated content, client records, onboarding information, documents, and related business data remain the property of the respective Advisor and/or Investor, as applicable.

Finuro does not claim ownership of such data.

Finuro is granted a limited right to process, store, transmit, and manage such data solely for providing Platform services.


9. Payments

Finuro may facilitate payment collection through third-party payment gateways.

Payments made by Investors for advisory subscriptions, memberships, courses, communities, consultations, or other offerings are transactions between the Investor and the respective Advisor.

Finuro acts solely as a technology facilitator and is not responsible for:

  • Service delivery by Advisors.

  • Subscription disputes.

  • Refund disputes.

  • Advisory outcomes.


10. Prohibited Activities

Users shall not:

  • Violate applicable laws or regulations.

  • Misrepresent identities or registrations.

  • Upload malicious software or code.

  • Interfere with Platform operations.

  • Attempt unauthorized access.

  • Engage in fraudulent activities.

  • Use the Platform for unlawful financial schemes.

Finuro reserves the right to suspend accounts involved in prohibited activities.


11. Intellectual Property

The Platform, software, branding, trademarks, designs, source code, and related materials are owned by Finuro or its licensors.

No rights are granted except as expressly provided under these Terms.

Users may not copy, modify, distribute, reverse engineer, or create derivative works without written permission.


12. Third-Party Services

The Platform may integrate with third-party providers, including:

  • Payment gateways.

  • KYC providers.

  • Identity verification providers.

  • Communication platforms.

  • Cloud infrastructure providers.

Finuro is not responsible for the availability, accuracy, or performance of third-party services.


13. Disclaimer

The Platform is provided on an "as is" and "as available" basis.

Finuro makes no warranties regarding:

  • Investment performance.

  • Financial outcomes.

  • Regulatory approvals.

  • Business growth.

  • Platform availability without interruption.

Finuro does not endorse, verify, or guarantee any Advisor, financial product, recommendation, or investment opportunity available through the Platform.


14. Limitation of Liability

To the maximum extent permitted by law, Finuro shall not be liable for:

  • Investment losses.

  • Advisory disputes.

  • Business interruptions.

  • Loss of profits.

  • Loss of data.

  • Indirect, incidental, consequential, or special damages.

Finuro's aggregate liability shall not exceed the fees paid by the affected User to Finuro during the twelve months preceding the claim.


15. Indemnification

Users agree to indemnify and hold harmless Finuro, its directors, employees, affiliates, and partners from claims, losses, liabilities, damages, and expenses arising from:

  • Violation of these Terms.

  • Violation of applicable laws.

  • Misconduct by the User.

  • Disputes between Advisors and Investors.


16. Suspension and Termination

Finuro may suspend or terminate access to the Platform at its discretion if:

  • These Terms are violated.

  • Required payments remain unpaid.

  • Regulatory concerns arise.

  • Fraudulent activity is detected.

  • Continued access creates legal or operational risk.


17. Privacy

Collection and processing of personal information are governed by the Finuro Privacy Policy.

By using the Platform, Users consent to such processing as described therein.


18. Modifications

Finuro may update these Terms from time to time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.


19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
